These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("User" or "you") and Denline Shipping Pvt Ltd ("Company", "we", "us", or "our"), concerning your access to and use of the Denline Shipping website (https://denlineshipping.com) as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Service").
You agree that by accessing the Service, you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

We reserve the right to withdraw or amend this Service, and any service or material we provide on the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period.
From time to time, we may restrict access to some parts of the Service, or the entire Service, to users, including registered users.
3.1 Service Availability
- We strive to maintain 99.9% uptime but cannot guarantee uninterrupted service
- Scheduled maintenance will be announced in advance when possible
- Emergency maintenance may occur without prior notice
- You are responsible for ensuring you have appropriate internet access
4. User Accounts
When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for keeping your account information current.
4.1 Account Responsibilities
- You must be at least 18 years old to create an account
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized use of your account
- You are responsible for all activities that occur under your account
- You may not transfer your account to another person
Security Notice: Never share your login credentials with others. We will never ask for your password via email or phone.
5. Prohibited Uses
You may not use our Service:

All User Content must:

8. Shipping & Freight Forwarding Terms
Denline Shipping Pvt Ltd provides comprehensive freight forwarding and logistics services as an NVOCC (Non-Vessel Operating Common Carrier) and freight forwarder. These terms govern all shipping, logistics, and related services provided by us from our operations in India.
8.1 Service Scope
Our shipping and freight forwarding services include but are not limited to:
- Ocean freight (FCL & LCL) - Import/Export from India
- Air freight services - Domestic and International
- Inland transportation within India
- Customs clearance assistance (IEC, GST, DGFT compliance)
- Warehousing and distribution in Mumbai and other Indian ports
- Documentation services (Bill of Lading, Commercial Invoice, etc.)
- Cargo consolidation and deconsolidation
- Supply chain management and logistics consulting
- Marine insurance arrangement
- Real-time cargo tracking and monitoring
- Door-to-door delivery services
8.2 Booking and Confirmation
- All bookings are subject to space availability and carrier acceptance
- Rates quoted are valid for the period specified and subject to change
- Bookings are confirmed only upon receipt of signed shipping instructions
- We reserve the right to refuse any shipment at our discretion
- Cargo cut-off times must be strictly adhered to
8.3 Bill of Lading Terms
When acting as NVOCC, we issue our own Bills of Lading subject to the following:
- Our Bill of Lading evidences receipt of cargo in apparent good order
- We are not liable for pre-existing damage or concealed damage
- Claims must be made in writing within the time limits specified
- Our liability is limited as per applicable international conventions
- Bills of Lading are non-negotiable unless expressly stated
Important: Bills of Lading issued by us as NVOCC are subject to our standard terms and conditions, which may differ from ocean carrier terms.
9. NVOCC Services
As a licensed NVOCC operating in India, we provide ocean transportation services and issue our own Bills of Lading for cargo consolidation and shipping services.
9.1 NVOCC Authority
- We operate under valid NVOCC license and registration in India
- Our services are subject to Indian shipping regulations and DGFT guidelines
- We maintain appropriate bonds and insurance as required by Indian law
- Our tariffs are filed and published as per regulatory requirements
9.2 Cargo Handling
- Cargo is received and delivered during normal business hours
- Special handling requirements must be declared in advance
- Dangerous goods require proper declaration and documentation
- We reserve the right to inspect cargo at any time
- Storage charges apply for cargo held beyond free time
9.3 Transit Times
Transit times are estimates only and not guaranteed. Delays may occur due to:
- Weather conditions and natural disasters
- Port congestion and vessel delays
- Customs examinations and clearance delays
- Documentation issues
- Force majeure events
- Carrier operational changes
10. Cargo Liability & Insurance
10.1 Our Liability
Our liability for cargo loss or damage is limited as follows:
- Ocean Freight: INR 41,500 per package or customary freight unit, whichever is less
- Air Freight: As per Warsaw/Montreal Convention (approx. INR 1,650 per kg)
- Inland Transport: INR 41 per kg of cargo
- Warehousing: INR 415 per package per day of storage
- General Freight Forwarding: INR 4,150 per incident or actual damages, whichever is less
10.2 Exclusions
We are not liable for:
- Acts of God, force majeure, or extraordinary circumstances
- Inherent vice or natural deterioration of cargo
- Inadequate or defective packaging
- Strikes, lockouts, or labor disturbances
- Government actions, including customs delays
- Nuclear risks or acts of terrorism
- Consequential, special, or indirect damages
- Loss of profit, market, or business opportunity
10.3 Insurance
Important: We strongly recommend marine cargo insurance. We can arrange insurance on your behalf, but you remain responsible for adequate coverage.
- Marine cargo insurance can be arranged at current market rates
- Insurance must be requested before cargo movement
- Claims must be reported immediately upon discovery
- We act as agent only in insurance arrangements
11. Customs & Documentation
11.1 Customs Clearance
When providing customs brokerage services in India:
- We act as your agent for customs clearance purposes
- You must provide accurate and complete information
- You are responsible for compliance with Indian customs regulations
- Additional charges may apply for examinations or delays
- We are not liable for classification or valuation disputes
- IEC (Import Export Code) must be valid and active
- GST compliance is mandatory for all transactions
11.2 Documentation Requirements
Required documents may include:
- Commercial invoice and packing list
- Certificate of origin (when applicable)
- Export/import licenses and permits
- Inspection certificates and quality certificates
- Marine insurance certificates
- Dangerous goods declarations (if applicable)
- IEC certificate and GST registration
- DGFT compliance certificates
11.3 Compliance
Compliance Notice: You are responsible for ensuring all shipments comply with applicable Indian laws, international regulations, and trade restrictions.
- Compliance with international trade regulations
- Adherence to Indian export/import licensing requirements
- Sanctions and embargo compliance
- Anti-dumping and countervailing duty compliance
- Product safety and regulatory compliance
- Foreign Trade Policy (FTP) compliance
12. Charges & Payment Terms
12.1 Freight Charges
- Ocean freight charges as per agreed rates
- Bunker Adjustment Factor (BAF) and Currency Adjustment Factor (CAF)
- Port charges, terminal handling charges
- Documentation and administrative fees
- Customs clearance and brokerage fees
- Inland transportation charges
- Storage and demurrage charges
- Insurance premiums (when arranged)
- GST as applicable
12.2 Additional Charges
Additional charges may apply for:
- Demurrage and detention beyond free time
- Special equipment requirements
- Out-of-gauge or oversized cargo
- Dangerous goods handling
- Weekend/holiday services
- Document courier services
- Cargo surveys and inspections
- Storage beyond free time
12.3 Payment Terms
- Payment terms: Net 30 days from invoice date (unless otherwise agreed)
- Freight collect shipments require payment before release
- Late payment charges: 1.5% per month on overdue amounts
- We reserve the right to hold cargo for unpaid charges
- All charges are in INR unless otherwise specified (USD for international transactions)
- Currency fluctuations may result in rate adjustments
- GST applicable as per Indian tax regulations
- Payment methods: Bank transfer, cheque, online payment
12.4 Lien Rights
Lien Notice: We have a general lien on all cargo and documents for any amounts due to us from you as per Indian law.
13. Privacy Policy
Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding the collection and use of your information.
14. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
14.1 Effect of Termination
Upon termination:
- Your right to use the Service will cease immediately
- Your account and data may be deleted
- You remain liable for any outstanding obligations
- Provisions of these Terms that should survive termination will survive
- Any cargo in our custody remains subject to our lien rights
- Outstanding freight and charges remain due and payable
15. Disclaimers
The information on this website is provided on an "as is" basis. To the fullest extent permitted by law, this Company:
- Excludes all representations and warranties relating to this website and its contents
- Excludes all liability for damages arising out of or in connection with your use of this website
- Does not guarantee the accuracy, reliability, or completeness of any information
- Does not warrant that the service will be uninterrupted or error-free
- Does not guarantee vessel schedules or transit times
- Does not warrant space availability or carrier acceptance
- Makes no representations regarding cargo conditions or delivery timing
No Warranty: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SHIPPING SCHEDULES AND TRANSIT TIMES ARE ESTIMATES ONLY.
16. Limitation of Liability
In no event shall Denline Shipping Pvt Ltd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.
16.1 Maximum Liability
Our total liability to you for all claims arising from or relating to the Service shall not exceed:
- For general services: The amount you paid us in the twelve (12) months preceding the claim, or INR 8,300, whichever is greater
- For cargo-related claims: The liability limits specified in the cargo liability section
- For freight forwarding services: The lesser of actual damages or our standard liability limits
16.2 Cargo-Specific Limitations
Cargo Liability: Our liability for cargo loss, damage, or delay is strictly limited as per international conventions and our standard terms and conditions.
17. Indemnification
You agree to defend, indemnify, and hold harmless Denline Shipping Pvt Ltd and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:
- Your use of the Service
- Your breach of these Terms
- Your violation of any law or regulation
- Customs penalties or violations related to your cargo
- Misdeclared or prohibited cargo
- Inadequate packaging or cargo preparation
- Third-party claims related to your cargo or shipments
- GST or tax compliance issues
18. Governing Law
These Terms shall be interpreted and governed by the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
18.1 Dispute Resolution
Any disputes arising from these Terms or your use of the Service will be resolved through:
- First, good faith negotiations between the parties
- If unsuccessful, binding arbitration in Mumbai, India
- Each party bears their own costs unless otherwise awarded
18.2 Maritime Law Application
For cargo and shipping-related disputes:
- Indian Maritime law and applicable international conventions shall apply
- Cargo claims are subject to the terms of our Bill of Lading
- NVOCC services are governed by Indian shipping regulations and DGFT guidelines
- Compliance with Indian Customs Act and Foreign Trade Policy
- Time limitations for claims as per Indian Maritime Law
- Disputes subject to jurisdiction of Mumbai High Court
18.3 Time Limitations
Claim Time Limits:
- Cargo damage/loss claims: Must be made within 9 months of delivery
- Freight and charges disputes: Within 3 years of payment
- General service claims: Within 1 year of incident
- Customs-related claims: As per Indian Customs Act provisions
19. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
